Yahoo! Inc. (NASDAQ: YHOO), the premier digital media company, today announced it has signed a definitive agreement to acquire 5to1 Holding Corp. (OTC BB: FTOH). 5to1 is an online advertising alliance consisting exclusively of major media publishers. Built on a proprietary publisher-controlled platform, 5to1 offers top brand advertisers premium inventory at mass scale. The acquisition of 5to1 will enable Yahoo! to build upon its publisher partnerships and expand its premium inventory.

“5to1’s innovative platform and premium private marketplace will further enable Yahoo! to extend our advertising leadership,” said Wayne Powers, SVP, Advertising Sales for the North America region. “5to1 provides additional access to publishers and unlocks the value of unsold inventory for premium brand advertisers.”

5to1 focuses on premium brands and media partnered in a marketplace environment, enabling major media publishers to fill unsold inventory with premium advertisements. 5to1 works with more than 20 premium publishers.

“We’re thrilled for our media partners that Yahoo! is backing our platform and the alliance,” said James Heckman, 5to1 CEO and co-founder. “The 5to1 team is looking forward to joining Yahoo! at the close of the transaction and being part of its global reach.”

Yahoo! expects to close the acquisition in the second quarter. After the close of the transaction, the 5to1 team will be joining Yahoo! as part of the Ad Marketplaces group.

Honeywell (NYSE: HON) has won a 5-year, $38 million contract with the Federal Aviation Administration (FAA) to maintain security systems at more than 1,000 locations in the agency’s Air Traffic Organization (ATO) Air Traffic Systems Branch.

With more than 7,000 takeoffs and landings per hour, the FAA ATO safely guides approximately 50,000 aircraft through the national airspace system every day. The national airspace system is operated and maintained by 35,000 controllers, technicians, engineers and support personnel. Honeywell was awarded a base contract with 4 one-year options.

HTSI will provide corrective maintenance for security systems at essential FAA locations across the country, including air traffic control facilities and national airspace navigation, surveillance and communication sites. The Corrective Maintenance contract includes security equipment such as video surveillance, physical access control equipment, intrusion detection and barrier arms. In addition, the HTSI team will operate a logistics facility using the HEARTS (Honeywell Enterprise Asset Resource Tracking System) solution to optimize functionality and leverage the Honeywell Global Service Response Center (GSRC) to provide service 24 hours a day, 365 days a year.

HTSI provides a range of services for government customers in management, space systems and services, networks and field engineering, Department of Defense logistics, maintenance, sustainment, calibration, information technology and cyber security.

Based in Phoenix, Arizona, Honeywell’s aerospace business is a leading global provider of integrated avionics, engines, systems and service solutions for aircraft manufacturers, airlines, business and general aviation, military, space and airport operations.

Vivendi and Vodafone announce today the signing of an agreement for Vivendi to acquire Vodafone’s 44% stake in SFR.

The amount of the transaction will be €7,950 M, split as follows:

€7,750 M, corresponding to a 6.2 multiple of SFR’s reported 2010 EBITDA (€3973 M);

A lump sum of €200 M, reflecting the generation of cash between January 1st, 2011 and July 1st, 2011.

Additionally, SFR and Vodafone will extend their commercial co-operation for a further three years.

Commenting on the agreement, Jean-Bernard Lévy, Chairman of the Management Board and Chief Executive Officer declared: “We are very pleased to reach our strategic objective to own 100% of SFR, which will help Vivendi to focus further on profitable growth and innovation. I am very confident that this will greatly benefit both the Group’s industrial development and our millions of subscribers and consumers globally. The transaction will create a significant increase in Vivendi’s adjusted net income, enabling us to raise the dividend to our shareholders.”

This agreement is subject to customary Competition Authority approval. Completion of the transaction is expected by end June, 2011.

Royal Philips Electronics today announced that it will allocate EUR 2 billion for investments in Green Innovation by 2015 to accelerate sustainable business across the company’s three sectors. In 2010, Philips’ cumulative investments in Green Innovation amounted to EUR 1 billion, surpassing its Green Innovation investment target two years ahead of schedule. As a result of the company’s continued commitment to sustainable innovation, 38% of total 2010 sales was generated by Philips Green Products, up from 31% in 2009.

The increase in green sales, as a percentage of total sales in 2010, was achieved primarily by the company’s continued focus on EcoDesign across sectors, a process aimed at developing products with a significantly lower environmental impact throughout its lifecycle.

Recent introductions of Green Products from Healthcare include the Philips Essential, a patient monitoring system, designed for clinical workflow and patient safety during transport, which offers a 48% reduction in energy use, 72% less product weight, 32% less packaging weight and a lead-acid free battery.

Notable green product launches in Consumer Lifestyle included the Econova TV, the first PVC/BFR free television in the world, which received both the EU-energy “A+” label as well as the EISA Best Green TV 2010/2011 award.

Lighting contributed to nearly half of total Philips Green Product sales and continued to make important strides with the commercial launch of the 12-watt EnduraLED lamp, the industry’s first replacement for the traditional 60-watt incandescent lamp. This development, the first of its category to receive the ENERGY STAR qualification, was recognized by the American Lighting Association as the winner in the LED Replacements Lamp division for the Tomorrow Awards and was named “Product of the year 2010” by Popular Science Magazine.

Corruption indicates illegal activities when in reality none of this has happened.

But there are A LOT of dirty tactics going around. Such as the GOP’s constant filibusters, which means they are able to shoot down the bill immediately without even taking a vote on it. While in theory this can be a good thing. There were more filibusters by the GOP in 2009 than all of the 1950′s and 60′s combined.

It’s a simple blatant attempt to make sure everything democratic fails, so the GOP can retake the white house in 2012. They wanna get reelected, not help the people

Usually, lawyers doing litigation work on a contingent fee basis. The lawyer gets 1/3 of whatever you are awarded in damages — that is a basic contingent fee arrangement. The lawyer only gets paid when you do.

The other side would be responsible for its own lawyer’s fees — probably on a hourly basis.
